Terms of Use

1. License Grant

ANT Automation grants you a limited, non-exclusive, non-transferable license to use QUANTUM Industrial Studio ("the Software") subject to the terms and conditions set forth herein.

2. Community (Free) Tier

The Community (Free) tier is licensed for INTERNAL USE ONLY.

Definition of Internal Use: "Internal Use" means exclusively for operations, monitoring, evaluation, or research within the same legal entity or corporate group under the licensee's direct control, without providing services to external entities. If you are a system integrator, consulting firm, or service provider, using the Software for client projects constitutes commercial use and requires an Industrial license.

You MAY use the Community tier to:

Deploy and operate the Software within your own organization
Monitor and control your own plant, factory, or facility
Evaluate the Software for potential commercial licensing
Use for educational or research purposes within your institution

You MAY NOT use the Community tier to:

Provide services to third parties (clients, customers)
Include in commercial integration projects for external clients
Resell, redistribute, or sublicense the Software
Offer the Software as part of a managed service or SaaS offering
Use on behalf of another company or organization

Support: The Community tier is provided without formal technical support. Community resources and documentation are available. Paid support requires an Industrial license.

2.1 Intellectual Property Restrictions

Regardless of the tier, you MAY NOT:

Copy, reproduce, or duplicate the Software code, partially or fully
Reverse engineer, decompile, or disassemble the Software
Remove, alter, or obscure any proprietary notices, labels, or marks
Rebrand the Software or use your own logo/branding in place of QUANTUM branding
Create derivative works based on the Software
Claim ownership or authorship of any part of the Software

The QUANTUM Industrial Studio name, logo, and all associated branding are trademarks of ANT Automation and must remain visible and unaltered in all deployments.

3. Industrial (Commercial) Tier

System integrators, consultants, and organizations wishing to use QUANTUM Industrial Studio for commercial projects serving third parties must obtain an Industrial license by contacting sales@ant-automation.com.

4. Partner & Reseller Program

If you are a system integrator interested in offering QUANTUM Industrial Studio to your clients, please contact us about our Partner Program. We offer:

Commercial licensing for integration projects
Technical training and certification
Co-marketing opportunities
Revenue sharing arrangements

5. Telemetry & Data Collection

QUANTUM Industrial Studio collects anonymous usage data to improve the product, validate licenses, and provide support. By using the Software, you consent to this data collection.

Data We Collect:

System Information: Operating system type and version, hostname, application version
Usage Metrics: Number of tags configured, PLC connections, historian points, screens, users
Performance Data: CPU usage, memory consumption, uptime
Network Information: Public IP address (for license validation and support)
License Information: License type (Free/Industrial), installation ID

Data We DO NOT Collect:

Project files, configurations, or proprietary data
PLC programs, logic, or process data
Passwords, credentials, or authentication tokens
Personal files or documents
Network topology or internal IP addresses
Any data from your industrial processes

Free Tier Requirement: The Community (Free) tier requires periodic telemetry transmission (heartbeat) to validate the license. Blocking or disabling telemetry will invalidate your free license.

Offline Installations: For air-gapped, isolated, or offline installations that cannot transmit telemetry, contact sales@ant-automation.com for Industrial license options with manual validation.

Data Usage: Collected data is used exclusively for:

License validation and compliance monitoring
Product improvement and feature development
Technical support and troubleshooting
Aggregate usage statistics (anonymized)

Data Security: All telemetry data is transmitted securely via HTTPS and stored in accordance with industry-standard security practices. We do not sell or share your data with third parties.

6. Audit Rights

ANT Automation reserves the right to audit your use of the Software to ensure compliance with these terms. Upon reasonable notice, you agree to provide information necessary to verify compliance.

7. Termination

This license is effective until terminated. ANT Automation may terminate this license immediately if you fail to comply with any term of this agreement. Upon termination, you must cease all use of the Software and destroy all copies.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ANT AUTOMATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL ANT AUTOMATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

10. Updates to Terms

ANT Automation reserves the right to modify these Terms of Use at any time. We will notify registered users of material changes via email or through the Software interface. Your continued use of the Software after such modifications constitutes your acceptance of the updated terms. We recommend reviewing these terms periodically.

11. Export Compliance

You agree to comply with all applicable export laws and regulations, including those of the United States and the jurisdiction in which you are located. You shall not export, re-export, or transfer the Software to any country, entity, or person prohibited by applicable export laws without the required government authorizations.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Allegheny County, Pennsylvania.
